Terms of Service
These Terms constitute a binding legal agreement between you and BytesWave Technology LLC governing your access to and use of the Dayn platform. Please read them carefully before registering.
Definitions
- "Platform" means the Dayn web application, APIs, mobile applications, and all associated services operated by BytesWave.
- "User" / "you" means any individual or entity that registers for or uses the Platform.
- "Instrument" means any debt instrument, promissory note, or financial acknowledgment created, stored, or verified through the Platform.
- "Creditor" means the party to whom a debt is owed as documented in an Instrument.
- "Debtor" means the party who owes the debt as documented in an Instrument.
- "Content" means all data, documents, text, files, and information you submit to the Platform.
- "BytesWave" means BytesWave Technology LLC, the operator of Dayn.
Account Registration & Eligibility
To use the Platform you must: (a) be at least 18 years of age; (b) have full legal capacity to enter into contracts; (c) not be prohibited from using the Platform under applicable law; (d) provide accurate and complete registration information; and (e) complete identity verification as required for your jurisdiction.
You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. Notify us immediately at [email protected] if you suspect unauthorised access.
One person or legal entity may not operate more than one free account. Multiple accounts for the purpose of circumventing subscription limits will result in termination of all associated accounts.
Platform Services
Dayn provides the following core services, subject to your subscription plan:
- Instrument issuance — creation and digital signing of debt instruments with SMS OTP debtor confirmation.
- Instrument verification — third-party verification of instrument authenticity via QR code or reference number.
- Portfolio management — tracking, status updates, and payment recording across instruments.
- Multi-jurisdiction support — compliance templates for 12+ jurisdictions.
- Analytics — portfolio insights, recovery metrics, and export functionality.
User Obligations & Prohibited Uses
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:
- Submit false, fraudulent, or forged information in any Instrument.
- Create instruments for debts that do not genuinely exist or to which you are not a party.
- Use the Platform for money laundering, terrorism financing, or any activity prohibited by applicable AML/CFT laws.
- Attempt to circumvent identity verification or KYC processes.
- Harass, impersonate, or harm other users or third parties through the Platform.
- Reverse-engineer, scrape, or extract data from the Platform without authorisation.
- Introduce malware, viruses, or perform denial-of-service attacks.
- Resell or sublicense access to the Platform without our prior written consent.
- Use the Platform in any way that violates the laws of the UAE, the instrument's jurisdiction, or your local jurisdiction.
BytesWave reserves the right to investigate suspected violations and cooperate with law enforcement authorities.
Instrument Issuance & Legal Status
Instruments created on Dayn are intended to serve as legally binding documentation of debt obligations. You acknowledge that:
- The legal enforceability of an Instrument is determined by the laws of the jurisdiction specified in the Instrument, not solely by its creation on this Platform.
- Debtor OTP confirmation is a strong indication of acknowledgment but may not satisfy all formal requirements in every jurisdiction (e.g., notarisation, witness signatures).
- You are solely responsible for ensuring the Instrument meets the formal requirements of your jurisdiction.
- BytesWave is a technology intermediary and is not a party to any Instrument created on the Platform.
- Instrument records are immutable once both parties have confirmed via OTP. Amendments require a new Instrument.
Subscription Plans & Billing
Dayn offers Starter (free), Professional ($49/month), and Business ($149/month) plans. Features and limits are as described on the pricing page at the time of subscription.
- Billing cycle: Subscriptions are billed monthly or annually in advance. Annual plans receive a discount.
- Automatic renewal: Subscriptions renew automatically unless cancelled at least 24 hours before the renewal date.
- Price changes: We will provide at least 30 days' notice before increasing subscription prices.
- Refunds: We offer a 14-day refund for first-time paid subscriptions if requested within 14 days of the charge. Subsequent periods are non-refundable except where required by law.
- Taxes: Prices exclude applicable VAT or sales taxes, which will be added at checkout based on your billing address.
- Failed payments: Failed payments will result in account downgrade to Starter plan after a 7-day grace period.
Intellectual Property
The Platform, its design, code, features, and brand identity are owned by BytesWave Technology LLC and protected by copyright, trademark, and other applicable intellectual property laws.
Your content: You retain ownership of all Content you submit. By submitting Content, you grant BytesWave a limited, non-exclusive, worldwide licence to store, process, and display your Content solely as necessary to provide the Platform services.
You may not copy, redistribute, or create derivative works of the Platform or any part of it without our prior written consent.
Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
BytesWave does not warrant that: (a) the Platform will be error-free or uninterrupted; (b) defects will be corrected; (c) any instrument created on the Platform will be legally enforceable in your jurisdiction; or (d) results obtained from using the Platform will be accurate or reliable.
Some jurisdictions do not allow exclusion of implied warranties. In such cases, the above disclaimers apply to the fullest extent permitted by law.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BYTESWAVE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY:
- Indirect, incidental, consequential, or punitive damages arising from your use of the Platform.
- Loss of profits, data, business opportunity, or goodwill.
- Unenforceability of any instrument created on the Platform in your jurisdiction.
- Disputes between Users, or between a User and any third-party Debtor or Creditor.
Our total aggregate liability to you for any claim arising under these Terms shall not exceed the greater of: (a) the amount you paid to BytesWave in the 12 months preceding the claim, or (b) USD 500.
Indemnification
You agree to indemnify, defend, and hold harmless BytesWave and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your access to or use of the Platform.
- Your violation of these Terms.
- Any false or fraudulent information submitted through the Platform.
- Your violation of any third-party rights, including intellectual property or privacy rights.
Termination
By you: You may close your account at any time via Account Settings → Danger Zone → Delete Account. Upon deletion, your personal data is erased within 30 days except where legal retention obligations apply. Instrument records required for legal compliance are retained per the schedule in our Privacy Policy.
By BytesWave: We may suspend or terminate your account immediately and without prior notice if you violate these Terms, engage in fraudulent activity, or if required by law. Upon termination, your right to access the Platform ceases immediately.
Provisions that by their nature should survive termination (including Sections 7–12) shall survive.
Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the Emirate of Abu Dhabi and the federal laws of the United Arab Emirates without regard to conflict-of-law principles.
Dispute resolution: Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Abu Dhabi, UAE.
For users in the European Union, nothing in these Terms limits your rights under applicable consumer protection laws or your right to bring claims before your local courts.
Changes to Terms
We may modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice via email and a prominent in-app notice. Your continued use after the effective date constitutes acceptance. If you disagree with the changes, you may close your account before the effective date.
